b)Mode of incorporationIncorporated under Companies Act 1956 as a Private Limited Company under the name National Thermal Power Corporation Private Ltd. However, the word "Private" was deleted on 30 Septemberer,, 1976 consequent upon notification issued by GoI exempting Government Companies from the use of word "Private". The Company was converted to Public Ltd. Company on 30 September., 1985. Name of the Company was changed to NTPC Limited on 28 October., 2005.

d)Details of DisinvestmentsThe Govt. of India was holding the entire paid- up capital of the Company till October 2004. After divestment of 5.25% of its holding by GOI and fresh issue of 5.25% by the Company to the public through Initial Public Offering in October 2004, the holding of GOI reduced to 89.5%.

GOI divested its shareholding in the Company from time to time. At present, the GOI is holding 51.10% of equity shares in the Company.  
The balance is held by public, FIIs, Mutual Funds and Banks.

NTPC has been established to carry out the objectives specified in the Memorandum & Articles of Association of the Company as amended from time to time. The main activities of NTPC are setting up of power plants and power generation through its coal-based and gas-based power plants. The Company has also diversified into construction of hydro power plants and generation of hydro power besides power trading and distribution of electricity. The Company has entered into area of coal mining & coal washery and oil exploration as well. The company has also ventured into Nuclear Power and Renewable Energy.

Coal Mining & Washery

Out of the ten coal blocks allotted to NTPC earlier from Oct. 2004 to July 2013, 5 coal blocks (namely Chatti-Bariatu South, Kerandari, Dulanga, Talaipalli) were cancelled vide Hon'ble Supreme Court's Order dated 24.09.2014. Subsequently, MoC on 24.03.2015 declared reallocation of 4 coal blocks (earlier 5 coal blocks clubbed into 4) namely Chatti-Baratu & Chatti-Bariatu (South), Kerandari, Dulanga, Talaipalli to NTPC. Allotment agreements have been signed between NTPC and Govt. of India for these coal blocks on 30.03.2015.

Govt. of India also issued formal allotment letters to NTPC on 31.03.2015 for Banai & Bhalumuda coal blocks. Kudanali-Luburi coal block has been allotted jointly to NTPC and JKSPDCL. With the allocation of total 8 coal blocks with estimated geological reserves of 3.5 BT, NTPC expects to produce about 82 million Tonnes per annum.

Oil Exploration

NTPC has signed Production Sharing Contracts (PSCs) on 30.06.2010 with Govt. of India for four (4) Oil/Gas exploration blocks awarded under NELP-VIII. These include three offshore blocks (one in Andaman Basin and two in KG Basin) awarded in consortium with ONGC as operator and NTPC having 10% Participating Interest (PI) and one on land block viz. CB-ONN-2009/5 in Cambay Basin, where NTPC has 100% PI and is the Operator. The company along with consortium partners has decided to relinquish 2 (two) blocks one Andaman Basin Block AN-DWN-2009/13 and one KG Basin Block KG-OSN-2009/1 and ONGC (the Operator) has submitted the applications to Directorate General of Hydrocarbons in this regard. Exploration work is in progress in the remaining two blocks.

Two blocks, one Andaman Basin Block AN-DWN-2009/13 and one KG Basin Block KG-OSN-2009/1 have already been relinquished. NTPC has also decided to relinquish the Cambay Basin Block CB-ONN-2009/5  and has submitted the applications to Directorate General of Hydrocarbons in this regard. Exploration work has been completed in the KG Basin Block KG-OSN-2009/4 & the data acquired is under review.

Gas/ Liquid Fuel

The total capacity of NTPC gas plants is 4017 MW with requirement of 16.39 MMSCMD gas at 85% PLF. Natural Gas is primary fuel source for NTPC's existing six gas based stations viz. Anta, Auraiya, Dadri, Faridabad, Kawas and Jhanor-Gandhar. Liquid fuel is used as secondary fuel in above gas-based stations except in Jhanor-Gandhar. RGCCPP, Kayamkulam station is run with Naphtha (Liquid Fuel) as primary fuel. Domestic gas supplies to NTPC gas stations have become Nil w.e.f. 16.06.2021 due to diversion of GoI allocated gas to CGD sector, as per MoP&NG guidelines. Presently Gas stations are operating on LTRLNG & spot RLNG mostly for meeting peaking/balancing demand of Grid.
